Mohamed Serry

Mr. Mohamed Serry is a Partner of “Serry Law Office” since the year 2005. He graduated from the Faculty of Law, Cairo University in 1998. He was a double major where he joined the American University in Cairo from 1993 to 1996 majoring Political Science and Business Law. He completed his Masters Degree in International Commercial Law in 2001 from Queen Marry and Westfield College, University of London specialized studies in International Banking & Finance, Foreign Direct Investment, Arab Comparative Commercial Law and International Commercial Arbitration. Mr. Serry’s academic and educational experience covered extensive studies related to real estate laws, corporate laws, international Loans and finance, bond and securities regulations, privatization and BOT projects, mergers and acquisitions and all aspects of corporate and commercial laws of the Gulf States, and dispute settlement pursuant to the different International Commercial Arbitration Rules.

Prior to joining Serry Law Office, Mr. Serry was a senior associate in Shalakany Law Office and was appointed as Public Prosecutor in 2001; yet, resigned to continue his private practice as a corporate attorney.

Mr. Serry is specialized in corporate, trade, Mergers & Acquisitions, banking and real estate legal matters and has been working for more than twenty years on legal matters related to legal restructuring, incorporation of legal entities, mergers & acquisitions, joint ventures, distribution, commercial agency, franchising, banking and lending activities, major real estate contracts and transactions with extensive experience in topics related to mergers & acquisitions, international Loans and finance and all aspects of corporate,  commercial and real estate laws in Egypt and the Gulf States.

Mr. Serry has participated in all aspects of trade legal matters ranging from participating in and advising on pre-contract negotiations, to drafting and preparing international commercial agreements including franchise agreements, commercial agency agreements and distribution agreements. In relation to Trade, Mr. Serry acted on behalf of franchisors, franchisees, distributors and commercial agents in Egypt and was involved in drafting of and reviewing several international franchise agreements and advising on several franchises granted to Egyptian legal entities including Salvatore Ferragamo Italia S.p.A, Gilmar Divisione Industria S.P.A (ICEBERG), Gianni Versace S.P.A (Versace Jeans Couture” and “Versace Sport”, “Versace Classic”), Liu Jo S.P.A, Al Sagheer Cosmetics, Berts Café, Linas Café, Illy Coffee, Bossini, La Senza and several others. In addition to the professional experience, Mr. Serry was selected as the sole speaker in the franchise development training course prepared by the Egyptian Franchise Development Association in 2008 and was a speaker in a session named “remedies of breach of franchise agreements” during the annual International Bar Association Conference 2012 in Dublin.

Mr. Serry has extensive experience in Mergers & Acquisitions where he acted on behalf of sellers/purchasers in a numerous number of local and cross border acquisitions starting from the pre-contract stage until closing of a transaction. Mr. Serry handled many major acquisitions representing both sellers and purchasers with extensive experience in drafting of share purchase agreements, shareholders agreements, and all transaction documents in addition to the due diligence experience with over sixty due diligence reports prepared for companies targeting private placement and companies which issued their shares for public including Orascom Construction Industries, Orascom Hotel  Holdings, Orascom Telecom and other publically traded companies. Among the most recent acquisitions handled by Mr. Serry are the following:

  • Representing purchasers in the purchase of 20% of the issued capital of the Power Generation Engineering and Services Company SAE (PGESCO).
  • Representing sellers in the sale of 49% of the issued capital of Raco for Investment (KONE Corporation).
  • Representing Vicking River Cruises in acquiring 100% of the issued capital of Extension Nile Cruises Egypt.
  • Representing sellers in selling 51% of Rowad Modern Engineering Company Algeria to ALLAM SONS.
  • Representing Saudi Consulting Services in its Joint Venture with Engineering for Petroleum and Process Industries (ENPPI).
  • Representing SAS Egypt in the sale of 100% of its shares in each of Azasha LLC, Azadea LLC, Azdeg LLC, EG Moda LLC and La Senza.
  • Representing the Industrial Construction and Engineering Company (SIAC) in its joint venture with Al Futtaim For Real Estate Development Company for the development of an area in the 669 (six hundred and sixty nine)  Fadden owned by Al Futtaim located in New Cairo.
  • Representing Sellers in the sale of 100% of the shares of Avis Car Rental Egypt

Mr. Serry is also involved in all aspects of banking and finance legal activities as he has the practical experience, knowledge and know-how of the industry. In addition to the practical experience, Mr. Serry has the academic and up to date knowledge and experience as his Masters Degree included masters in International loans and syndications; in addition to completing his recent Loan Documentation course in the International Faculty of Finance in London which focused intensively on all legal issues related to loan documentation and syndication He has recently participated in a wide range of banking deals and transactions most recently a seven hundred and fifty million Egyptian Pounds (750,000,000 EGP) syndicated loan granted to New Giza for real estate development company and a one hundred million Egyptian Pounds (100,000,000 EGP) Medium Term Loan granted to Mabani for real estate investment. Mr. Serry advises on all aspects of banking and financial laws and regulations and acts on the full range of complex financial transactions where he acts on behalf of major commercial and investment banks, holding companies and funds representing both debtors and creditors and has participated in a wide range of banking deals and transactions including syndicated loans and bilateral loans and currently represents major banks in Egypt in commercial lending and loan syndication.

Mr. Serry is also specialized in real estate matters and has extensive experience in sale contracts, lease agreements, mortgages agreements, registration procedures of property, real estate taxes, construction contracts, and all matters related to real estate transactions. He was involved in many of the major real estate transactions in Egypt most recently Sun Set hills, Safa Medical Tower, Barclays Bank- Heliopolis Branch, KPMG Head Office, Palm Hills Developments, Repton International Schools. In addition, Mr. Serry is a visiting lecturer in the American University in Cairo teaching Real Estate Laws and Regulations in Egypt.
